This is an English translation of our Dutch general terms and conditions (algemene voorwaarden). In case of any discrepancy, the Dutch version prevails.
These terms apply to all quotes, assignments and services of Taakloos, a trade name of Klik&Shop (sole proprietorship), Paramaribohof 55, 2315 VW Leiden, the Netherlands, Chamber of Commerce (KvK) 98148362, VAT NL005310837B66, email [email protected] (hereinafter: Taakloos). Deviations only apply if agreed in writing. The client's own general terms and conditions do not apply.
Quotes are without obligation and valid for 30 days, unless stated otherwise. An assignment is formed as soon as the client accepts the quote in writing or by email. The free automation scan is without obligation and commits you to nothing.
Taakloos performs the assignment to the best of its knowledge and ability. This is an obligation of effort, not an obligation of result. Taakloos may engage third parties and external services (such as AI models, hosting and integration software). Stated timeframes are indicative.
The client provides correct and complete information in good time, access to the necessary systems and accounts, and tests the delivered automations. Delays caused by a lack of these are at the client's expense.
Automations may use AI. AI output may be incorrect or incomplete. The client remains responsible for checking output (such as draft emails and quotes) before it is used or sent, and for decisions based on it.
Costs of external services required for the automation to work (such as subscriptions or usage fees for AI and software services) are borne by the client, unless agreed otherwise.
Prices are set per assignment in the quote and are exclusive of VAT, unless stated otherwise. Invoices must be paid within 14 days of the invoice date. In the event of late payment, after a reminder the client owes the statutory (commercial) interest and reasonable collection costs.
Maintenance and support are only provided if agreed. Taakloos is not responsible for disruptions caused by changes to or outages of third-party services, but will help restore them within the agreed arrangements.
After full payment, the client receives a right to use the automations built for them. Taakloos retains the rights to general knowledge, methods, templates and reusable components.
Both parties keep confidential information secret. If Taakloos processes personal data on behalf of the client, this will be governed by a data processing agreement. See also our privacy policy.
Taakloos's liability is limited to direct damage and to a maximum of the amount invoiced for the assignment in the last three months. Taakloos is not liable for indirect damage, such as consequential loss, lost profit, missed savings or loss of data, nor for damage caused by AI output that the client has not checked. This limitation does not apply in the case of intent or deliberate recklessness.
In the event of force majeure, including outages of third-party services, the internet or hosting, Taakloos may suspend performance without being liable for damages.
Ongoing services (such as maintenance) apply for the agreed period and can then be terminated monthly with one month's notice, unless agreed otherwise. Either party may terminate the agreement if the other party seriously fails to perform and does not remedy this after a written notice of default.
These terms and all agreements are governed by Dutch law. Disputes will be submitted to the competent court in the district of The Hague, unless the law provides otherwise.
